Risk Retention
On the Closing Date, JPMCB, in its capacity as a Retaining Sponsor, will acquire from the Depositor, and retain, 60.0% of the RR ABS Interests, in the form the RR Interest. Barclays, in its capacity as a Retaining Party, will acquire from the Depositor, and retain, 20.0% of the RR ABS Interests, in the form of the Class RR Certificates. DBNY, in its capacity as a Retaining Party, will acquire (through its affiliate GACC) from the Depositor, and retain, 20.0% of the RR ABS Interests, in the form of the Class RR Certificates. Each RR ABS Interest is intended to meet the definition of a “single vertical security” that is an “eligible vertical interest” (as such terms are defined in Regulation RR)
