The Whole Loan is secured by a first-lien mortgage on the Borrower’s fee simple interest in Midtown Center, a newly constructed, LEED® GOLD-certified, 867,654 square foot trophy office building that serves as Fannie Mae's headquarters located in Downtown Washington, D.C. The Whole Loan is comprised of 13 promissory notes (the “Notes”). Six of the Notes (the “Trust Notes”), with an aggregate principal balance of $404.0 million, are expected to be contributed to the Trust. The remaining 7 Notes, with an aggregate principal balance of $121.0 million (the “Companion Notes”) will not be assets of the Trust and are expected to be contributed to future securitizations. Three of the Trust Notes (the “B Notes”), with an aggregate principal balance of $143.0 million, are subordinate to the remaining Trust Notes and the Companion Notes in right of payment, as described in the Offering Circular.
